Terms of Service
1. What Relay is
Relay is software for repair shops, mobile mechanics and fleets: work orders, dispatch, estimates, invoices, inventory and a customer portal. We provide the software. We do not repair vehicles, and we are not a party to the work your shop agrees with its customers.
2. Your account
You need an account to use Relay. You are responsible for who you invite to your shop and for what they do in it. Keep sign-in details private, and tell us at [SUPPORT EMAIL] if you think someone has access who should not.
3. What you pay
Relay is charged monthly per shop, with unlimited users, at the price we agree with you in writing before your account starts. [LEGAL COMPANY NAME] will confirm your price and billing dates when you sign up. We invoice you and you pay by the date on the invoice. If payment is more than [7] days late we may pause the creation of new work orders and invoices. Your existing data stays available to read, and nothing is deleted because of a late payment. Prices can change with [30] days' notice.
4. Your data is yours
Your customers, units, work orders, invoices and photos belong to you. We store and process them to run the service for you. You can export your data at any time, and you can ask us to delete your shop's data by writing to [SUPPORT EMAIL]; we will do so within [30] days except where we must keep records by law.
5. What you agree not to do
- Use Relay to break the law, or to store someone else's data without the right to do so.
- Try to reach another shop's data, or to get around the security that separates shops.
- Resell Relay or copy the software, unless we agree in writing.
- Send messages through Relay that the recipient has not agreed to receive.
6. Location tracking
Relay can show a mechanic's location to their own shop while they are on a road call. Mechanics turn this on themselves, and it stops when they mark the job finished or turn it off. Phones pause location when the app is closed or the screen is locked, so it is not continuous. Shops must tell their mechanics that this is in use, and must comply with the employment and privacy law that applies to them.
7. Messages to your customers
Relay can email your customers about their repairs on your behalf, from your shop's name. You are responsible for having the right to contact them, and for the content you write. We may limit how many messages can be sent per hour to protect the service.
8. Uptime, backups and support
We work to keep Relay available, but we do not promise it will never be down. We take [regular] backups. Support is by email at [SUPPORT EMAIL], usually answered within [1 business day].
9. Stopping
You can stop using Relay at any time by writing to [SUPPORT EMAIL]; you pay for the month you are in, and we do not refund part months unless we have agreed otherwise. We may end your account if you break these terms or do not pay, after telling you and giving you a chance to fix it. [NOTICE PERIOD]
10. Limits of our responsibility
Relay is provided as it is. To the extent the law allows, we are not responsible for lost profit, lost business or indirect losses, and our total responsibility to you in any 12 months is limited to what you paid us in that period. Nothing here limits anything that cannot be limited by law. [LAWYER: confirm the wording and the cap for [STATE/COUNTRY].]
11. Changes to these terms
We will tell you by email at least [30] days before a material change. Continuing to use Relay after that means you accept the new terms.
12. Law and disputes
These terms are governed by the law of [STATE/COUNTRY], and disputes go to the courts of [VENUE]. [LAWYER: arbitration clause, if wanted.]
